1. Acceptance of Terms

These Terms & Conditions ("T&C") govern your access to and use of the website operated by Silza Telecom Solutions ("Company", "we", "us", "our") and any related services we provide through the website (collectively, the "Site").

1.2. Agreement to Terms

By accessing, browsing or using the Site, you ("User", "you", "your") agree to be legally bound by these T&C, all applicable laws and regulations. If you disagree with any part of these T&C, you must immediately cease all access and use of the Site.

2. Description of Service

2.1. Nature of Business

Silza Telecom Solutions operates as authorized Channel Partners for Marketing (Dealers) for various telecommunications and business solution providers, including but not limited to Tata Tele Business Services. We market, promote, and facilitate the acquisition of these services to potential enterprise and business clients.

2.2. Service Role

Our primary role is to act as a bridge between the service providers (Principals) and the end-customers. We provide information, generate leads, and assist in the onboarding process for various telecom and cloud solutions. We do not own the underlying infrastructure or directly provide the telecommunication services, which are delivered by the respective authorized service providers.

2.3. Applicability

These T&C apply to all Users, including those who simply browse the Site and those who submit inquiries, leads, or otherwise engage with us for the purpose of procuring services.

3. User Eligibility and Account Obligations

3.1. User Eligibility

By using the Site or Service, you represent that you are at least 18 years of age and are legally capable of entering into a binding contract.

3.2. Business Representation

If you are using the Site or submitting inquiries on behalf of a business entity, you represent and warrant that you have the full legal authority to bind that entity to these T&C.

3.3. Accuracy of Information

You agree to provide true, current, and complete information when submitting any forms or inquiries on the Site. You are solely responsible for the accuracy of the contact details and business requirements you provide.

4. Permitted Use and Prohibited Conduct

4.1. Lawful Use

You agree to use the Site and Service only for lawful purposes and in compliance with these T&C, as well as all applicable local, state, national and international laws, rules and regulations.

5. Fees and Payments

5.1. Channel Partner Model

As Channel Partners, our primary remuneration may be derived from commissions or fees paid by the respective service providers (Principals) upon successful acquisition of services by the client. In most cases, standard pricing for services is determined by the Principal service provider.

5.2. Direct Billings

Any billing for the telecommunication services procured will generally be directly between the User (Client) and the Principal Service Provider (e.g., Tata Tele Business Services), subject to their specific terms of service and billing cycles.

6. Third-Party Links and Principal Services

6.1. Third-Party Disclaimer

The Site contains information about services provided by third-party Principals (e.g., Tata Tele Business Services, Zoom, Microsoft, etc.). These third-party services are not under the direct control of Silza Telecom Solutions.

6.2. No Guarantee of Third-Party Service

We do not warrant or guarantee the uninterrupted performance, quality, or suitability of the services provided by the Principal service providers. Any service level agreements (SLAs) or performance guarantees are governed strictly by the contract between the User and the Principal Service Provider.

7. Intellectual Property Rights

7.1. Company IP

All content on the Site created by Silza Telecom Solutions, including text, layout, and specific marketing materials, is the property of Silza Telecom Solutions.

7.2. Trademarks

Trademarks, logos, and service marks of third-party providers (e.g., Tata Tele Business Services logo, Microsoft logo) displayed on the Site are the property of their respective owners and are used here for identification and marketing purposes as an authorized Channel Partner.

8. Disclaimers and Limitation of Liability

8.1. "As Is" Basis

THE SITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

8.2. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SILZA TELECOM SOLUTIONS (INCLUDING ITS OFFICERS, DIRECTORS, EMPLOYEES) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR ANY SERVICES PROCURED THROUGH OUR REFERRAL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Indemnification

You agree to indemnify, defend and hold harmless Silza Telecom Solutions, its affiliates and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, losses, damages, costs and expenses arising out of or related to your breach of these T&C or your misuse of the Site.

10. Governing Law and Dispute Resolution

10.1. Governing Law

These T&C shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

10.2. Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts located in Goa, India, for the resolution of any legal matter arising from these T&C.
